Terms of Service

1. Agreement to Terms
By accessing or using the services provided by SPADES IT SOLUTIONS LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Description
SPADES IT SOLUTIONS LLC provides information technology services including but not limited to:
- Managed IT services and helpdesk support
- Cybersecurity assessments and hardening
- Cloud migration and network infrastructure
- AI automation and system integrations
- Custom web application development
Specific services, deliverables, and pricing will be outlined in individual service agreements or statements of work.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Grant appropriate access to systems and networks as required
- Maintain confidentiality of login credentials and access codes
- Promptly notify us of any security incidents or concerns
- Comply with all applicable laws and regulations
- Pay for services as outlined in your agreement
4. Payment Terms
- Payment terms are specified in individual service agreements
- Monthly retainer services are billed in advance
- Project-based work may require deposits and milestone payments
- Invoices are due within 30 days unless otherwise specified
- Late payments may incur interest charges of 1.5% per month
- We reserve the right to suspend services for non-payment
5. Intellectual Property
Client Materials: You retain ownership of all pre-existing materials, data, and intellectual property you provide to us.
Deliverables: Upon full payment, you will own the custom work product created specifically for you, excluding any pre-existing tools, frameworks, or proprietary methodologies.
Company Tools: We retain ownership of all tools, templates, processes, and methodologies developed independently or used across multiple clients.
6. Confidentiality
Both parties agree to maintain confidentiality of proprietary information exchanged during the service relationship. This includes business processes, technical configurations, pricing, and any information marked as confidential. This obligation survives termination of services for a period of three (3) years.
7. Service Level Commitments
For managed services clients:
- Response times and availability are defined in service agreements
- Emergency support is available for critical issues
- Scheduled maintenance will be communicated in advance
- Service credits may apply for documented SLA failures
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability shall not exceed the fees paid for services in the twelve (12) months preceding the claim
- We are not liable for indirect, incidental, special, or consequential damages
- We are not responsible for data loss where client has failed to maintain adequate backups
- We are not liable for third-party service outages or failures
9. Indemnification
You agree to indemnify and hold harmless SPADES IT SOLUTIONS LLC, its officers, employees, and agents from any claims, damages, or expenses arising from your breach of these terms, misuse of services, or violation of applicable laws.
10. Termination
- Either party may terminate services with 30 days written notice
- We may terminate immediately for non-payment or material breach
- Upon termination, you remain responsible for fees incurred
- We will provide reasonable assistance in transitioning services
- Confidentiality and limitation of liability provisions survive termination
11. Dispute Resolution
Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Orange County, Florida, under the rules of the American Arbitration Association. Each party shall bear its own costs.
12. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.
13. Modifications
We reserve the right to modify these terms at any time. Material changes will be communicated via email or website notice. Continued use of services after changes constitutes acceptance of modified terms.
14. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
